Terms of Service

Article 1 (Application)

These Terms apply to all relationships between Users and the Company concerning the Service. The Company may establish guidelines or individual rules for use of the Service (“Individual Rules”), which form part of these Terms regardless of their name. If these Terms conflict with Individual Rules, the Individual Rules prevail unless otherwise specified.

Article 2 (Registration)

Use of the Service requires an account registered through Clerk. Registration is complete when an applicant agrees to these Terms, applies in the prescribed manner, and the Company approves the application.

The Company may reject or cancel registration in any of the following cases:

• The application contains false information.
• The applicant was previously deregistered for violating these Terms.
• The Company determines that the applicant is connected with antisocial forces.
• The Company otherwise determines that registration is inappropriate.

Article 3 (Account Management)

Users are responsible for managing their account information. Users must not transfer, lend, or share their user ID or password with a third party. Except in cases of willful misconduct or gross negligence, the Company is not liable for damage caused by unauthorized use of login information.

Article 4 (Fees and Payment)

For new subscriptions, Japan billing addresses use JPY prices and other supported countries use USD base prices. Changing the display language does not change an existing contract. International checkout uses Stripe Managed Payments. Checkout shows the final amount, applicable taxes, any local-currency conversion and recurring terms. The payment terms displayed at checkout and applicable law take precedence for international payment, tax and refund matters.

Paid-plan fees displayed separately on the website are processed through Stripe. The Company may suspend the Service if payment is delayed. If a User delays payment, the User must pay late charges at an annual rate of 14.6%.

Article 5 (Prohibited Conduct)

Users must not engage in the following conduct:

• Violating laws, regulations, or public order and morals.
• Criminal or fraudulent conduct.
• Infringing copyrights or other intellectual property rights.
• Unauthorized system access or interference with the Service.
• Impersonating or harassing another user or third party.
• Collecting or storing personal information about other users.
• Involvement with antisocial forces.

Article 6 (Suspension of Service)

The Company may suspend the Service without prior notice in the following cases:

• System maintenance or failure.
• Provision becomes difficult due to earthquakes, lightning, fire, power outages, natural disasters, or other force majeure.
• Computer or telecommunications failures.
• Other operational reasons.

Article 7 (Withdrawal)

Users may withdraw through the prescribed procedure. Users with a paid subscription must cancel it first and wait until the subscription period ends before deleting their account.

Once account deletion is complete, the account, created sites, image records and related data in the Service’s database, as well as stored image files, are deleted and cannot be restored. Purchase history stored in Stripe is not deleted.

Article 8 (Disclaimer)

The Company does not warrant that the Service is free from factual or legal defects, including defects in safety, reliability, accuracy, or usefulness. Except in cases of willful misconduct or gross negligence, the Company is not liable for damages.

The Company is not responsible for transactions, communications, or disputes arising between a User and another user or third party in connection with the Service.

Article 9 (Changes to the Service)

The Company may change the content of the Service or discontinue its provision without notifying Users and is not liable for damage arising from such changes or discontinuation.

Article 10 (Changes to these Terms)

The Company may revise these Terms when necessary. Changes will be announced in advance, and continued use after the changes take effect constitutes agreement to the revised Terms.

Article 11 (Governing Law and Jurisdiction)

These Terms are governed by Japanese law. The court having jurisdiction over the Company’s location has exclusive agreed jurisdiction over disputes relating to these Terms.
